Private Office Membership Terms and Conditions

By using The Cowork Space/Silicon Couloir, you agree to be bound to the following Private Office Membership Agreement ("Agreement") as a "Private Office Member."

Silicon Couloir/The Cowork Space ("Company," "The Cowork Space") reserves the right to change this Agreement with 14 days’ notice.

Membership Overview

The Cowork Space is an enterprise through which members utilize shared workspace and desks in an open space filled with natural light, including access to phone booths for private calls, a small meeting room, a 10-person conference room, and a lounge and kitchenette. Private Office Membership provides full-time access to a dedicated, lockable private office with key access. The conference room can be reserved and is included in the membership up to 5 hours, before additional fees are incurred.

Access Rights

The Cowork Space hereby grants the Private Office Member:

Unlimited access via a non-exclusive license to use the assigned private office at 140 East Broadway, Jackson, Wyoming at all times.

A non-exclusive license to use all of the following amenities within the Space:

Wireless internet

Phone booths for private calls (subject to availability)

Small meeting room (for additional fee)

Conference room (5 hours per month included)

Lounge and library space

Kitchenette

Private Office Access and Usage

The Private Office is accessible only to the Private Office Member and their authorized guests.

Private Office Members will be provided with a key to their office and are responsible for locking their office when it is unoccupied if they prefer to do so.

Private Office Members must return their key upon termination of membership. Failure to return the key will result in a fifteen dollar ($15.00) replacement fee.

Private Office Members may conduct calls and meetings within their private office without restriction, provided noise levels remain reasonable and do not disturb other members.

Private Office Members are responsible for maintaining the professional atmosphere of their office.

Noise and Conduct

Members shall observe and maintain appropriate noise levels throughout The Cowork Space. While Private Office Members may conduct calls within their office, they should be mindful of noise levels that may carry beyond the office walls.

Members shall conduct themselves in a professional and respectful manner toward all individuals within The Cowork Space. The Cowork Space is committed to providing a safe, inclusive, and welcoming environment for all Members. Any conduct that causes another individual to feel unsafe or unwelcome shall not be tolerated. Members are encouraged to report any such incidents promptly to hello@siliconcouloir.com or to any Silicon Couloir staff member.

Facility Issues and Communication

Members shall promptly communicate any facility-related issues, concerns, or maintenance needs to hello@siliconcouloir.com or through the designated member portal as soon as reasonably practicable upon discovery.

Photography Consent

Members acknowledge that The Cowork Space may periodically capture photographic or video content for use in Silicon Couloir's social media, marketing materials, or other promotional assets. Members retain the right to request that photographs or videos containing their likeness be withheld from any promotional materials by submitting such request in writing to The Cowork Space management.

Facility Maintenance and Cleanliness

Members share collective responsibility for maintaining the cleanliness and functioning of The Cowork Space facilities. This includes, but is not limited to, properly turning off water taps, reporting plumbing issues promptly, and leaving common areas in a clean and organized condition after use. The Cowork Space reserves the right to assess reasonable fees for maintenance or cleaning issues directly attributable to a Member's negligence or failure to adhere to facility protocols.

Private Office Members are responsible for maintaining their office in a clean and organized condition to allow cleaning staff to perform their duties. The Cowork Space staff will provide regular cleaning services to Private Offices, but Members must ensure that surfaces are accessible and personal items are organized.

Membership Hold

Membership holds or pauses are not permitted for private office occupants.

Meeting Room Usage

Meeting room time included in the membership does not roll over to the following month and is not refunded. Additional usage beyond the allocated hours will incur additional hourly fees at the then-current rates.

Fee and Payment Terms

Private Office Member agrees to pay The Cowork Space a monthly fee for the Private Office Membership under this Agreement in the amount of $1350 per month ("Membership Fee") plus any service fees, processing fees, and roundups that are accrued through third-party billing.

The Membership Fee is nonrefundable once paid and is due and payable on the Effective Date and again on the same day of each following month ("Billing Cycle Date") unless this Agreement is terminated as described below.

The base fee/monthly membership fee can change with 3 months' notice from the Cowork Space administration.

Private Office Member agrees to provide (and as needed to update) The Cowork Space a valid credit card number and related information to enable The Cowork Space to charge the Membership Fee to Private Office Member's credit card account on a recurring monthly basis.

Late Payment

A late payment fee of fifty dollars ($50.00) shall be assessed if payment is not received within five (5) calendar days following the Member's scheduled membership payment date. For clarity, if a membership renews on the 2nd day of the month, the late fee will be applied on the 7th day of that same month if payment has not been received.

Termination

To terminate membership under this Agreement, Private Office Member must provide The Cowork Space written notice of termination of this Agreement at least 30 days prior to Private Office Member's next Billing Cycle Date.

By signing this Agreement, Private Office Member expressly authorizes The Cowork Space to charge the Membership Fee to Private Office Member's credit card each month unless Private Office Member has provided The Cowork Space a written termination notice as described above.

Failing to notify The Cowork Space 30 days or more prior to vacancy will incur a prorated amount equal to the amount of days required for the notice.

Upon termination, Private Office Member must remove all personal items and equipment from their assigned office and return their office key. Any items left behind after the termination date may be removed and disposed of at The Cowork Space's discretion after 30 days. If the member is unable to remove their belongings from the office, the office may be re-rented to another tenant with the belongings still present.

Failure to return the office key upon termination will result in a fifteen dollar ($15.00) key replacement fee.

Reservation System

Meeting rooms and phone booths can be reserved through our online booking system, Cobot, subject to availability. Members should log in to the system (https://manage.thecoworkspace.siliconcouloir.com/login) and click 'Rooms and Resources' to reserve.

Private Office Members receive 5 hours of conference room credits per month.

Unused meeting room credits do not roll over to the following month. By logging into the member portal, you can see how many hours you have remaining in the month.

Private Office Conditions

Private Office Member is assigned a specific lockable office which remains exclusively available to them during the term of this Agreement.

Private Office Member may leave their monitor, computer equipment, and reasonable work and personal items in their office.

Private Office Member must maintain their office in a reasonably organized condition to allow cleaning staff to perform their duties.

No permanent alterations to the office, walls, doors, or surrounding area are permitted without prior consent from The Cowork Space.

Damage to the office beyond reasonable wear and tear may result in fees assessed to the Private Office Member.

Private Office Member is responsible for securing their own belongings by locking their office when not in use. The Cowork Space is not responsible for lost, stolen, or damaged personal items.

Private Office Members are responsible for maintaining the security of their office, including ensuring the office is locked when unoccupied.

Membership Conditions

Private Office Member agrees that by entering into this Agreement with The Cowork Space, Private Office Member and Private Office Member's guests or invitees (hereinafter collectively "the Licensee Parties") will strictly abide by all of the following terms and conditions.

The Licensee Parties will:

Maintain their private office and all common areas in a neat, clean, and sanitary condition.

Notify the Cowork Space management of any guests working out of the Cowork Space (name/email) for the purposes of work in the event of emergency communications being necessary.

Ensure that all invitees or guests of Private Office Member entering into the Cowork Space understand and comply with the standards of conduct and requirements outlined in this Agreement and accept protocols and operational modes, and subsequent agreements pertaining to current health and safety that is not addressed within this specific text.

Respect noise limitations in common areas and ensure that noise from within the private office does not disturb other members.

The Licensee Parties will NOT:

Allow any person other than the Private Office Member and their authorized guests access to the Private Office or the Building after Regular Business Hours.

Alter, damage, or destroy the Space or any furnishings, fixtures, or other personal property belonging to The Cowork Space and located in the Space.

Maintain or store any large inventory of goods in the Space, excepting personal items left in the private office or within cabinets or similar agreed upon storage location.

Tamper with, borrow, or remove property kept in another Member's licensed space area without their prior express, written permission.

Place any signs, symbols, or pictures in the windows or doors of the Space or upon any interior part of the Building without the prior written consent of The Cowork Space.

Cause or permit any hazardous substance (as determined in The Cowork Space's sole and absolute discretion) to be used, stored, generated, released, or disposed of in, on, or adjacent to the Space.

Use the Space for any illegal purpose or any purpose that would cause fire or other insurance in force for the Space to become void or suspended or be rated as a more hazardous risk than on the Effective Date.

Act in a manner that, in The Cowork Space's sole discretion, causes or is likely to cause a nuisance, or does or is expected to adversely affect the peaceful operation and enjoyment of the Space by other users of the Space or to other occupants of the Building in which the Space is located.

Duplicate the office key or provide unauthorized copies to any other individuals.

Install additional locks, security systems, or modifications to the existing door or lock without prior written consent from The Cowork Space.

Further Conditions

Private Office Member understands and expressly agrees that:

The terms and conditions in this Agreement are subject to change by The Cowork Space upon fourteen (14) days advance written notice given to Private Office Member by email and or as displayed on The Cowork Space's website http://www.siliconcouloir.com.

This Agreement does not constitute a lease of any space to Private Office Member or the Licensee Parties but is instead a non-exclusive, temporary license to use the assigned office and certain amenities related thereto as described in this Agreement.

Nothing in this Agreement shall be construed to create a lease or license for the Space for any defined period of time beyond such period of time expressly stated in this Agreement.

This Agreement does not constitute or create any partnership or joint venture between Silicon Couloir and Private Office Member or any person or entity.

The Cowork Space reserves the right to temporarily reassign Private Office Member to a different office of comparable quality for maintenance, repairs, or other operational needs with reasonable advance notice.

Private Office Member may be restricted, from time to time, from the use of common areas of the Space for events or other activities during non-Regular Business Hours. The Cowork Space will provide Private Office Member advance written notice of such dates and times.

The Cowork Space may terminate this Agreement at any time and without refund of Membership Fee should Private Office Member violate any condition or term of this Agreement.

Liability and Indemnification

Except as may be limited by Wyoming law or otherwise stated below, neither Silicon Couloir nor its owners, managers, employees, agents, contractors, insurers, or attorneys (collectively "the Indemnified Parties") shall be liable for any claim, action, and/or judgment for damages to property or injury to persons suffered or alleged to be suffered in, on or adjacent to the Space by Private Office Member or Private Office Member's officers, contractors, licensees, agents, servants, employees, guests, invitees or visitors (collectively the "Indemnifying Parties").

Private Office Member agrees to hold harmless and indemnify the Indemnified Parties and to defend the Indemnified Parties (using counsel of the Indemnified Parties' choice) from and against all losses, costs, and expenses, including attorney's fees (collectively "Damages"), arising from any act, omissions, or negligence of the Indemnifying Parties in, on or adjacent to the Space.

The foregoing provisions shall not be construed to make Private Office Member liable for Damages caused solely by the gross negligence or intentional misconduct of the Indemnified Parties or by the conduct of other persons who are not the Indemnifying Parties.

Governing Law

This Agreement is entered into in Wyoming and shall be construed under Wyoming as a whole as though written by both The Cowork Space and Private Office Member according to its fair meaning and not strictly for nor against either The Cowork Space or Private Office Member.

The Cowork Space and Private Office Member agree that the Ninth Judicial District Court in Teton County, Wyoming shall have personal jurisdiction over them and that the venue of any action filed relating to this Agreement shall be in the Ninth Judicial District Court or Circuit Court (as applicable) in Teton County, Wyoming.

If either The Cowork Space or Private Office Member shall deem it necessary to obtain the services of an attorney to enforce any of the covenants and conditions of this Agreement, the prevailing party (as determined by the judge of the applicable court) shall be entitled to reimbursement for all costs and expenses, including reasonable attorneys' fees, incurred in enforcing said party's rights under this Agreement.
