Cowork Space Dedicated Desk Terms & Conditions

By using The CoWork Space (“The CoWork Space”), you are agreeing to be bound to the following Membership Agreement (“Agreement”) as a “Dedicated Desk Member”.

Silicon Couloir (“Company”, “The CoWork Space”) reserves the right to change this Agreement without notice.

The CoWork Space is an enterprise through which members utilize shared workspace and desks in an open space filled with natural light; including access to phone booths for private calls, a 10-person conference room, and a kitchenette. The CoWork Space offers memberships to the public on a monthly basis, without the need to pay a signing fee or commitment to a long term Contract. Member desires to join The CoWork Space’s monthly membership program, and The CoWork Space agrees to allow the undersigned to become a member on the terms and conditions stated in this Agreement.

Agreement In consideration of the mutual promises and covenants described in this Agreement, The CoWork Space and Dedicated Desk Member agree as follows:

The CoWork Space Dedicated Desk Membership The CoWork Space hereby grants Member a nonexclusive license to use the physical space and one (1) dedicated desk located at 140 East Broadway, Suite 25, Jackson, Wyoming (“the Space”) during Regular Business Hours (defined as 9 a.m. – 5 p.m., Monday - Friday exclusive of federal holidays), and after Regular Business Hours when the Space is not in use by The CoWork Space or others for events ; plus a nonexclusive license to use all of the following amenities within the Space: ● Wireless internet ● Phone booths for private calls ● 10-person conference room ● Kitchenette

Fee Member agrees to pay The CoWork Space a monthly fee for a dedicated desk membership under this Agreement in the amount of $335.00 per month, (“Membership Fee”). The Membership Fee is nonrefundable once paid, and is due and payable on the Effective Date, and again on the same day of each following month (“Billing Cycle Date”) unless this Agreement is terminated as described below.

Member agrees to provide (and as needed to update) The CoWork Space a valid credit card number and related information to enable Spark to charge the Membership Fee to Member’s credit card account on a recurring monthly basis.

In order to terminate membership under this Agreement, Member must provide the Cowork Space written notice of termination of this Agreement at least 48 hours prior to Member’s next Billing Cycle Date. By signing this Agreement, Member expressly authorizes Spark to charge the Membership Fee to Member’s credit card each month unless Member has provided Spark a written termination notice as described above.

Membership Conditions

Member agrees that by entering into this Agreement with The CoWork Space, Member and Member’s owners (if Member is a corporate ­type entity), employees, agents, guests, or invitees (hereinafter collectively “the Licensee Parties”) will strictly abide by all of the following terms and conditions.

The Licensee Parties will: ● Maintain any private area and all common areas in a neat, clean, and in sanitary condition. ● Ensure that all invitees or guests of Member entering into the Space understand and comply with the standards of conduct and requirements outlined in this Agreement.

The Licensee Parties will NOT: ● Allow any person other than the Member access to the building after Regular Business Hours without continuous accompaniment by Member and then only for Member’s bona fide business purposes, such as a meeting. ● Alter, damage, or destroy the Space or any furnishings, fixtures, or other personal property belonging to Spark and located in the Space ● Maintain or store any large inventory of goods in the Space, except personal items left at a dedicated desk or in a locker space ● Tamper with, borrow, or remove property kept in another Member’s licensed space area without their prior express, written permission. ● Place any signs, symbols, or pictures in the windows or doors of the Space or upon any interior part of the Building without the prior written consent of Spark. ● Cause or permit any hazardous substance (as determined in Spark’s sole and absolute discretion) to be used, stored, generated, released or disposed of in, on or adjacent to the Space. ● Use the Space for any illegal purpose or for any purpose that would cause fire or other insurance in force for the Space to become void or suspended, or be rated as a more hazardous risk than on the Effective Date. ● Act in a manner that, in The CoWork Space’s sole discretion, causes or is likely to cause a nuisance, or does or is likely to adversely affect the peaceful operation and enjoyment of the Space by other users of the Space, or to other occupants of the building in which the Space is located (“Building”); including without limitation creating any disturbance to occupants of the Space or the Building or their employees, licensees, guests or contractors.

Further Conditions - Member understands and expressly agrees that: ● The terms and conditions in this Agreement are subject to change by The CoWork Space upon 14 days advance written notice given to Member by email and as displayed on Silicon Couloir's website http://www.siliconcouloir.com. ● This Agreement does not constitute a lease of any space to Member or the Licensee Parties but is instead a non­exclusive, temporary license to use a defined physical space and common area and certain amenities related thereto as described in this Agreement. Nothing in this Agreement shall be construed to create a lease or license for the Space for any defined period of time beyond such period of time expressly stated in this Agreement. ● This Agreement does not constitute or create any type of partnership or joint venture between Silicon Couloir and Member or any person or entity. ● Other persons may have contracts with The CoWork Space for use of the Space that differ from this Agreement, and which entitle such persons to, during Regular Business Hours, use of desk space and use of the common areas and amenities licensed to Member under this Agreement. ● Member may be restricted, from time to time, from the use of common areas of the Space for events or other activities during non-Regular Business Hours. The CoWork Space will provide Member advance written notice of such dates and times. ● The CoWork Space may terminate this Agreement at any time and without refund of Membership Fee should Member violate any condition or term of this Agreement. ● The CoWork Space may terminate this Agreement at any time for any reason or no reason, provided that The CoWork Space refunds to Member that portion of the Membership Fee previously paid, pro-rata based on the number of days remaining in a billing cycle. ● Except as may be limited by Wyoming law or otherwise stated below, neither Silicon Couloir nor its owners, managers, employees, agents, contractors, insurers, or attorneys (collectively “the Indemnified Parties”) shall be liable for any claim, action, and/or judgment for damages to property or injury to persons suffered or alleged to be suffered in, on or adjacent to the Space by Member or Members officers, contractors, licensees, agents, servants, employees, guests, invitees or visitors (collectively the “Indemnifying Parties”). Member agrees to hold harmless and indemnify the Indemnified Parties and to defend the Indemnified Parties (using counsel of the Indemnified Parties’ choice) from and against all losses, costs, and expenses, including attorneys fees (collectively “Damages”), arising from any act, omissions or negligence of the Indemnifying Parties in, on or adjacent to the Space. The foregoing provisions shall not be construed to make Member liable for Damages caused solely by the gross negligence or intentional misconduct of the Indemnified Parties, or by the conduct of other persons who are not the Indemnifying Parties. ● This Agreement is entered into in Wyoming and shall be construed under Wyoming as a whole as though written by both The CoWork Space and Member according to its fair meaning and not strictly for nor against either The CoWork Space or Member. ● The CoWork Space and Member agree that the Ninth Judicial District Court in Teton County, Wyoming shall have personal jurisdiction over them and that the venue of any action filed relating to this Lease shall be in the Ninth Judicial District Court or Circuit Court (as applicable) in Teton County, Wyoming. If either The CoWork Space or Member shall deem it necessary to obtain the services of an attorney to enforce any of the covenants and conditions of this Agreement, the prevailing party (as determined by the judge of the applicable court) shall be entitled to reimbursement for all costs and expenses, including reasonable attorneys' fees, incurred in enforcing said party’s rights under this Agreement.
